As chief legal counsel for company, the Head of the Legal Division is responsible for all aspects of legal and compliance support within the company. The Head of the Legal Division leads a team of legal and compliance experts and provides both strategic and tactical legal support for the company and its executive leadership.

Duties and responsibilities:

  • Responsible for the full broad spectrum of legal support and defense;
  • Lead an in-house team of legal professionals including the compliance manager;
  • Responsible for the legal budget;
  • Understand the key business issues that drive the legal issues (trade and food regulations, alcohol restrictions, licensing, IP protection, labor issues, store checks, franchise, communication with the customers, data protection) and consistently make legal decisions that support achievement of business objectives;
  • Give full scope legal support to the day-to-day operational activities (manage legal review of contracts, internal documents, claims, enforce recovery of account receivables, litigation, participation in negotiations with key suppliers and customers when necessary);
  • Ensure proper Due Diligence process for the expansion purposes, execute RE legal management including sales and purchase, leasing, support for construction, maintenance and repairs, legal support to commissioning of the store buildings;
  • Ensure proper antitrust procedures implementation, daily support in antitrust related communication with suppliers;
  • Contribute actively to problem solving on the management team level;
  • Ensure proper corporate governance, with appropriate coordination with the company’s international corporate legal & compliance functions to ensure Russian and international standards and regulations are met;
  • Give legal support to transfer pricing, intercompany relations matters;
  • Act as a corporate secretary being present on the Board Meetings;
  • Ensure proper implementation and execution of all compliance related processes;
  • Provide legal support to GR activities on various levels;
  • Determine the need for and interact with external legal advisers;
  • Provide legal support to the Company’s daily operations;
  • Coordinate representation in arbitration courts and courts of General jurisdiction, regulatory and supervisory bodies;
  • Represent the Company’s interests in state authorities;
  • Execute orders, fulfil assignments of the Company’s management;
  • Organize trainings, consider appeals from employees, initiate internal investigations, and take other necessary measures to ensure the Company’s employees are informed of and comply with corporate standards.
